Terms of Use

By accessing or using the Site, you represent that you have the authority to bind yourself and, where you act on behalf of an organisation, that organisation, to these Terms. If you do not agree, you must not access or use the Site.

The Site is intended for institutional and professional audiences. You must be at least 18 years of age (or the age of majority in your jurisdiction, if higher) and legally able to enter into a binding contract. You may not use the Site if doing so is prohibited by law in your jurisdiction, or if doing so would subject KADAK Energy Systems to any registration, licensing or authorisation requirement.

The Site is informational. Nothing on the Site constitutes an offer or solicitation to buy or sell any security or interest, or investment, legal, tax or regulatory advice. See our Disclosures for full detail.

Certain features (including administrative and investor- access areas) require authentication. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use. KADAK Energy Systems may suspend or terminate accounts at any time in its sole discretion.

You agree not to, and not to permit any third party to:

• use the Site for any unlawful, fraudulent, harmful or deceptive purpose;
• attempt to gain unauthorised access to any part of the Site, our systems, or any related systems or networks;
• interfere with, disrupt, overload or impair the Site, including through denial-of-service, botnets, scraping, crawling beyond publicly indexed content, or brute-force activity;
• upload or transmit any virus, worm, trojan, ransomware, malicious code or exploit;
• reverse-engineer, decompile, disassemble or otherwise attempt to derive source code, models or trade secrets;
• frame, mirror, copy, republish or resell any part of the Site or its content without our prior written consent;
• use the Site or its content to train, fine-tune or benchmark any machine-learning, generative-AI or large-language model, in each case without our prior written consent;
• misrepresent your identity, affiliation, investor status, qualification or authority; or
• submit information you are not authorised to disclose or that infringes any third-party right.

You may submit information through our submission and referral workflows (including project, company and referral intake, and investor-access requests). By submitting, you represent and warrant that: (i) the information you provide is accurate and complete in all material respects; (ii) you have all rights, consents and authorisations necessary to submit the information and to permit KADAK Energy Systems to use it for the purposes described in these Terms and in our Privacy Notice; and (iii) the submission does not infringe any third-party right or breach any confidentiality or contractual obligation to which you are subject.

Submission does not create any agency, fiduciary, advisory, brokerage, finder’s-fee, exclusivity, joint-venture or partnership relationship between you and KADAK Energy Systems, and does not obligate KADAK Energy Systems to review, respond to, pursue or transact on any opportunity. KADAK Energy Systems may accept, decline or ignore any submission at its sole discretion, at any time, without notice.

Information you submit is treated as confidential in accordance with our Privacy Notice and applicable law. However, unless you and KADAK Energy Systems have entered into a signed non-disclosure agreement covering a specific opportunity, submissions are made without any obligation of confidentiality beyond what is stated in the Privacy Notice, and without any restriction on KADAK Energy Systems pursuing similar strategies, geographies, technologies or transactions.

The Site and all content, features, functionality, design, text, graphics, logos, wordmarks, iconography, motion system and software (the “Content”) are the property of KADAK Energy Systems, its affiliates or its licensors and are protected by applicable intellectual-property laws. Subject to these Terms, KADAK Energy Systems grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and view the Site for your internal, non-commercial, institutional-evaluation purposes only. All rights not expressly granted are reserved.

Any feedback, ideas or suggestions you provide about the Site are non-confidential, and KADAK Energy Systems may use them for any purpose without restriction or compensation to you.

The Site may link to, or interoperate with, third-party websites, services or content. KADAK Energy Systems does not control and is not responsible for third-party content or practices. Your dealings with any third party are solely between you and that third party.

The site and all content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory or otherwise.

To the fullest extent permitted by law, KADAK Energy Systems disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability, security and freedom from error or malicious code. KADAK Energy does not warrant that the Site will be uninterrupted, timely, secure or error-free.

To the fullest extent permitted by law, in no event will KADAK Energy Systems, its affiliates, or their respective officers, directors, employees, agents or licensors be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity or investment, arising out of or relating to your access to or use of the Site, whether based on contract, tort (including negligence), strict liability or any other legal theory, even if advised of the possibility of such damages.

To the fullest extent permitted by law, the aggregate liability of KADAK Energy Systems and its affiliates arising out of or relating to the Site will not exceed one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations of liability, so the foregoing limitations may not apply to you in whole or in part.

You agree to defend, indemnify and hold harmless KADAK Energy, its affiliates and their respective officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in any way connected with (i) your access to or use of the Site, (ii) your submissions, (iii) your breach of these Terms, or (iv) your violation of any law or third-party right.

KADAK Energy Systems may suspend or terminate your access to the Site at any time, with or without cause and with or without notice. Upon termination, all licences granted to you cease immediately, and provisions of these Terms that by their nature should survive termination (including sections 6–13 and 15–18) will survive.

These Terms and any dispute or claim arising out of or in connection with them or the Site (including non-contractual disputes or claims) are governed by, and construed in accordance with, the laws of the jurisdiction designated by KADAK Energy Systems in its principal governing documents, without regard to conflict-of-laws principles. The courts of that jurisdiction will have exclusive jurisdiction, except that KADAK Energy Systems may bring proceedings in any court of competent jurisdiction to protect its intellectual property or confidential information. Nothing in this section limits any mandatory consumer rights you may have under applicable local law.

We may update these Terms from time to time. The most current version will always be posted on this page with an updated “Last updated” date. Your continued use of the Site after any change constitutes acceptance of the revised Terms.

These Terms, together with our Privacy Notice and Disclosures, constitute the entire agreement between you and KADAK Energy Systems regarding the Site and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. A failure by KADAK Energy Systems to enforce any right is not a waiver of that right. You may not assign these Terms without our prior written consent; KADAK Energy Systems may assign them freely.
